Terms of Use

Grindict is an online platform owned and lawfully operated by Grindict Company Limited. It provides in-depth vocabulary practice using spaced repetition with waiting intervals automatically adjusted to the User’s level of retention.

These Terms of Use form a binding legal agreement between the User and Grindict Company Limited.

The Company may adjust, amend, or update these Terms of Use at any time to match operations or legal requirements. Changes take effect as soon as the updated version is published on the Platform. Continued use of the Service after an update is published means acceptance of those changes.

In these Terms of Use and related policies, rules, and documents published on the Platform, the following terms have these meanings:

• Company means Grindict Company Limited (tax code: 0319450613).
• Platform means the Company’s online service system provided at grindict.com and related subdomains, together with software applications the Company operates under the Grindict brand.
• Service means all solutions, features, practice tools, vocabulary lookup, collection management, measurement, statistics, and other support utilities the Company provides to the User on the Platform.
• User means an individual who registers an account, accesses, or uses the Service on the Platform.
• Account means the User’s personal identity account on the Platform, created and managed through a valid email address.
• Membership means the User’s level of Service benefits on the Platform, including the Default plan and the Upgraded plan.
• Default plan means the Membership created automatically when the User opens an Account, with no fee and no time limit. Benefits and feature scope of the Default plan may be limited under the Company’s published policy from time to time.
• Upgraded plan means a paid Membership for full features on the Platform for a defined period. Price and duration are published and apply at the time the User pays, under the Company’s policy from time to time.
• Privacy Policy means the document that describes how personal data of the User on the Platform is collected, stored, used, shared, and protected.

The Service on the Platform is for Users who need to learn a foreign language, have an internet-connected device, and can use the Platform’s features.

To access and use full features, the User must register an Account as guided on the Platform. Each Account is managed and used by one User only. The User must provide accurate information, keep sign-in credentials secure, and is responsible for all activity from the Account.

The Company provides tools on the Platform for the User to update personal information, change the password, update the email address, or delete the Account as guided on the system.

While using the Service, the User agrees to receive mandatory system notices needed for stable and safe operation, to protect the lawful rights of the User and the Company, and to update legal policy changes. For notices that are not mandatory, the User may opt in or opt out as guided on the system.

Grindict’s Service is provided entirely online on the Platform. The Company strives to keep the Platform stable and continuous and to deliver the best possible experience.

For optimal access and use, the User must provide a suitable device and a stable internet connection. The Company is not responsible for interruption or reduced Service quality caused by the User’s device or internet connection.

To protect system safety and improve Service quality, the Platform may suspend or limit access in the following cases:

• Scheduled or unscheduled maintenance or technical upgrades for a suitable period.
• Network security incidents, external technical attacks, or force majeure events under the law beyond the Company’s reasonable control.

The Platform is provided as is. While developing the product, the Company may adjust, add, or optimize Service features to improve the User experience or comply with the law.

The User may use only the Service the Company provides directly on the Platform interface. When using the Service, the User must not:

• Unauthorized interference that disrupts or harms the stable and safe operation of the Platform.
• Unauthorized exploitation, collection, or extraction of data from the Platform.
• Destructive abuse or misuse of the Platform’s interaction channels.
• Payment fraud, abuse of promotions, or taking unfair advantage of Service policies.
• Commercializing Account access or transferring the Account to a third party contrary to the rules.

If the User breaches these rules, the Company may take suitable measures, including temporary lock or permanent termination of access to the Service in any form, and cancellation of related benefits or promotions.

All resources and brands on the Platform are the lawful property of the Company or a party licensed by the Company. Copying, distribution, or exploitation without the Company’s written consent is prohibited.

For content the User suggests or reports, the Company may review, adjust, or use it to improve the Service. Sending such information does not create any ownership for the User or any obligation of the Company regarding that content.

The price and effective period of the Upgraded plan, and any promotions (if any), are published on the Service information page or payment interface at the time of the transaction.

The applicable price is the price shown when the User completes payment. Later price changes do not change the value of successful transactions.

Payment methods and detailed instructions are shown on the payment interface. Upgraded plan Service is activated as soon as the system confirms a successful transaction.

The Company does not directly store the User’s card or payment account information. Transactions are processed through licensed payment service partners.

Accounting, invoicing, and tax obligations related to transactions are performed by the Company in accordance with the law.

Default plan Service is provided under the policy published on the Platform at the time of use. Upgraded plan Service is provided for the period confirmed at successful payment.

Upgraded plan benefits end when the stated period expires or when the User receives a refund. In that case, the Account Membership automatically becomes the Default plan.

Refund requests are accepted and handled only within the stated time limit. After that limit, Upgraded plan Service continues until the stated period ends.

If the User breaches the rules of use, the Company may terminate current Service benefits without creating any obligation for the Company.

All feedback, support requests, or complaints while using the Service are received first through features on the Platform. If that is not possible on the Platform, the User may send information to contact@grindict.com.

The Company will check, handle, and reply to the User as soon as possible in accordance with the law after receiving valid information.

Disputes arising from use of the Service are resolved first through negotiation and mediation. If no agreement is reached, the dispute is brought before the competent people’s court in Ho Chi Minh City under the laws of Vietnam.
